1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and PinVPN LLC ("Company," "we," "us," or "our"), concerning your access to and use of the PinVPN.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Services"). You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. User Accounts and Responsibilities

To use most features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Subscriptions and Payment

Certain features of the Services are offered on a subscription basis. By subscribing to the Services, you agree to pay us the subscription fees ("Fees") presented to you for your selected plan. All Fees are billed in advance on a recurring basis (either monthly or annually). Subscriptions will automatically renew at the end of each billing cycle unless you cancel your subscription through your account management page or by contacting us. All Fees are non-refundable, except as required by law.

4. User Content

You retain all ownership rights to the content you upload or provide to the Services ("User Content"), including compliance policies, vendor documents, and other data. By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and create derivative works (such as those resulting from translations, adaptations, or other changes we make so that your content works better with our Services) of such User Content for the limited purpose of operating, providing, and improving the Services.

5. Acceptable Use Policy

You agree not to use the Services for any purpose that is prohibited by these Terms. You are responsible for all of your activity in connection with the Services. You shall not (and shall not permit any third party to) either (a) take any action or (b) upload, post, submit or otherwise distribute any User Content that:

• Infringes any patent, trademark, trade secret, copyright, right of publicity or other right of any other person or entity.
• Is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, or obscene.
• Constitutes unauthorized or unsolicited advertising, junk or bulk e-mail ("spamming").
• Involves commercial activities and/or sales without our prior written consent.
• Attempts to impersonate any person or entity.

6. Intellectual Property

The Services and their original content (excluding User Content), features, and functionality are and will remain the exclusive property of PinVPN LLC and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of PinVPN LLC.

7. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms. If you wish to terminate your account, you may do so by discontinuing use of the Services or through your account settings.

8. Disclaimer of Warranties and Limitation of Liability

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. PinVPN LLC makes no warranties, expressed or implied, and hereby disclaims all implied warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall PinVPN LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
